Why non-residents choose a UK LTD
A UK Limited Company is one of the most trusted corporate forms in the world. It offers global credibility with EU and UK customers, easy access to Stripe UK, Wise, Tide and Airwallex, and a corporation tax rate that starts at 19%. Non-residents can form and operate a UK LTD entirely remotely.
Companies House and HMRC — who does what
Companies House incorporates your company, holds your public register and receives your Confirmation Statement. HMRC handles taxes: Corporation Tax, VAT, PAYE and Self Assessment. The two are separate regulators and you will interact with both.
New identity verification (2026)
Under the Economic Crime and Corporate Transparency Act, every director and Person of Significant Control (PSC) must now verify their identity — either directly with Companies House or through an Authorised Corporate Service Provider (ACSP). Entity Makers verifies clients as an ACSP, typically in under an hour.
Registered office and service address
A UK registered office is legally required and must be an active physical address in the UK. Non-residents also need a service address for their directors. Both are included in our UK packages, along with mail scanning.
Person of Significant Control (PSC)
The PSC register is the UK's version of beneficial ownership disclosure. Every 25%+ shareholder, plus anyone with significant influence over the company, must be recorded. This information is public.
UTR, VAT and corporation tax
HMRC issues a Unique Taxpayer Reference (UTR) to your registered office within 10 working days of incorporation. You then have three months from starting to trade to register for Corporation Tax. VAT registration is mandatory once turnover crosses £90,000.
| Tax | Rate 2026 | Trigger |
|---|---|---|
| Corporation Tax (small profits) | 19% | Profits ≤ £50,000 |
| Corporation Tax (main rate) | 25% | Profits ≥ £250,000 |
| VAT (standard) | 20% | Turnover > £90,000 |
| PAYE | Varies | Employing UK-based staff |
Business banking for a UK LTD
Non-residents rely on three neobanks: Wise Business (fastest onboarding, best FX), Tide (excellent for founders who visit the UK) and Airwallex (multi-currency with strong API). Traditional banks like Barclays and HSBC almost always require a UK-resident director.
Costs and timeline
Incorporation itself costs £50 at Companies House. Realistic all-in year-one cost with a specialist, registered office, verification, banking help and accounting sits between £400–£900. Timeline: 24 hours for incorporation, plus 5–10 days for banking.
Common mistakes
Non-residents most often trip on the same issues: an address that Companies House rejects, missed Confirmation Statement filings, and applying for Stripe UK before HMRC has issued the UTR.
- Using a non-active or PO Box address as registered office
- Missing the annual Confirmation Statement (£13 online)
- Filing late accounts — automatic £150+ penalty
- Forgetting to register for Corporation Tax within 3 months
- Applying to Stripe UK before the entity is fully verified
