What is an LLC and why non-residents choose one

A Limited Liability Company (LLC) is a hybrid US business entity that separates the owner's personal assets from company liabilities while offering flexible taxation. For non-residents, a US LLC is the fastest legal path to Stripe, PayPal, US dollar banking and a professional presence in the world's largest consumer market.

Unlike a C-Corporation, a single-member LLC owned by a non-resident is typically a 'disregarded entity' for US federal tax purposes. That usually means zero federal income tax on non-US-source income — with the caveat of a mandatory Form 5472 information return every year.

Benefits of a US LLC for non-residents

Formation is fast and inexpensive, banking is accessible via neobanks like Mercury and Relay, and the branding weight of a US entity often lifts conversion rates by double digits for cross-border SaaS and e-commerce brands.

  • Personal asset protection through limited liability
  • Access to Stripe, PayPal, Amazon, Shopify Payments and every major US processor
  • USD business banking with virtual and physical cards
  • Pass-through taxation with no federal tax on non-US-source income (single-member)
  • No requirement to visit or reside in the United States
  • Strong credibility with US customers, partners and lenders

Who can form a US LLC?

Almost anyone. There are no citizenship or residency requirements to own or manage a US LLC. You need a valid passport, an email address, a mobile phone and — for the formation stage — a US registered agent. Restricted-party lists (OFAC) and a handful of sensitive industries are the main exceptions.

Choosing the best state

For non-residents with no US physical presence, three states dominate: Wyoming, Delaware and New Mexico. Each has different fee structures, privacy profiles and banking reputations.

StateFiling FeeAnnual FeeBest For
Wyoming$100$60Default for non-resident founders — cheap, private, easy to bank
Delaware$110$300 franchise taxVC-backed or complex ownership structures
New Mexico$50$0Cost-minimizers who can accept harder banking
Florida$125$138.75Founders with US ties or dropshipping into US
Nevada$425+$350+Privacy focus with higher fees

Wyoming vs Delaware vs New Mexico

Wyoming wins on cost, privacy and bank-friendliness for the average non-resident SaaS, agency or e-commerce founder. Delaware is worth its premium only when you plan to raise from US investors or intend to convert into a C-Corp later. New Mexico is the cheapest to keep alive but has the highest neobank rejection rate we track internally.

Required documents

You'll need surprisingly little: a valid passport scan, a proof-of-address document, a preferred business name (with two backups), the members' ownership split and — if you already have one — a website URL. Everything else is handled by your registered agent and filer.

The formation process step-by-step

Formation itself takes 24–72 hours in most states. The full stack — LLC, EIN, banking and Stripe — is typically live in 3–4 weeks for non-residents.

  • Choose your state and reserve your business name
  • Appoint a registered agent with a physical address in that state
  • File Articles of Organization with the Secretary of State
  • Draft an Operating Agreement (single or multi-member)
  • Apply for an EIN by fax with Form SS-4 (3–5 business days)
  • File a FinCEN BOI Report within 30 days of formation
  • Open banking (Mercury / Relay / Wise Business)
  • Apply for Stripe, PayPal or your industry-appropriate processor

Registered agent and business address

A registered agent is legally required in every US state. Their job is to accept legal notices on behalf of the LLC and maintain a physical street address in the state of formation. Entity Makers includes a full year of registered agent service in every package plus a real US business address suitable for banking and Stripe.

How to get an EIN without an SSN

Non-residents cannot apply online. Instead we file Form SS-4 by fax, listing the foreign responsible party. Typical turnaround: 3–5 business days when filed correctly, 4–8 weeks by mail. An ITIN is not required.

BOI filing under the Corporate Transparency Act

Since 2024 every US LLC must file a Beneficial Ownership Information (BOI) report with FinCEN. Deadlines are strict: 30 days after formation, and 30 days after any change of ownership, address or ID document. Penalties reach $591/day plus criminal exposure.

Operating Agreement

Wyoming does not require you to file an Operating Agreement, but banks and payment processors do want to see one. It defines ownership, capital contributions, distributions and dissolution rules. Even single-member LLCs benefit from having a professionally drafted agreement — it hardens the corporate veil.

Business banking options

The three neobanks non-residents actually get approved with are Mercury (best UX and Treasury), Relay (best for agencies and multi-account structures) and Wise Business (best for multi-currency and cheap FX). Traditional banks like Chase and Bank of America require an in-person visit.

Stripe and PayPal setup

Stripe reviews the entity, website, product listing, refund and privacy pages before approving. PayPal is stricter about IP and country consistency. A polished website and consistent addresses across all applications is what separates approval from a lifetime ban.

Taxes for non-resident LLC owners

A single-member LLC with a non-resident owner and zero US-source income typically pays no federal tax but must file Form 5472 + a pro-forma 1120 every year. Multi-member LLCs file Form 1065. Some states charge annual franchise or LLC taxes regardless of income.

Costs and timeline

Expect $600–$1,500 all-in for year one when using a specialist, including state fees, registered agent, EIN, BOI and banking help. Timeline is 3–5 business days for LLC + EIN, 5–15 business days for banking, and 5–20 business days for Stripe approval.

Mistakes to avoid

The five failures we see most often — and prevent — are the reason many DIY founders end up locked out of Stripe or PayPal for life.

  • Rushing Stripe with a half-built website and no policies
  • Using a residential address or mail-forwarding service the bank flags
  • Skipping BOI filing or missing the 30-day window
  • Ignoring Form 5472 — automatic $25,000 penalty
  • Choosing a state you can't get banked in (New Mexico, sometimes Nevada)
