Terms of Service

These Terms of Service govern your use of entitymakers.com and every product Entity Makers provides — including USA LLC formation, UK LTD formation, registered office address, EIN application, BOI filing, Companies House identity verification, banking and merchant introductions, website development, and consulting. By placing an order, accessing our client portal, or communicating with our team, you agree to these Terms.

Entity Makers acts as a filing and advisory intermediary. Our services include:

• US LLC formation in all 50 states, EIN, registered agent, mail address.
• UK LTD formation with Companies House, UTR, PSC filings and identity verification.
• FinCEN BOI reporting and ongoing compliance monitoring.
• Introductions and application preparation for Stripe, PayPal, Wise, Mercury, Relay, Airwallex, Tide, Payoneer, Sunrate, WorldFirst.
• Website, Shopify, Amazon, Walmart and TikTok Shop launch services.
• Trademark filings and business consulting.

Approval by government agencies, banks or payment platforms is never guaranteed. Entity Makers is not a bank, law firm, tax advisor or government agency.

You agree to:

• Provide accurate, complete and up-to-date identity, business and payment information.
• Respond to KYC, AML and compliance requests within the timeframes we specify.
• Comply with all laws applicable to your business, including tax filings, licences and reporting.
• Use our services only for lawful purposes.

All service fees are quoted and payable in USD unless otherwise agreed. Government filing fees and third-party charges (state fees, Companies House fee, courier costs, bank onboarding fees) are billed separately or included transparently in your invoice. Work begins after payment is received. We use secure payment processors and never store full card numbers.

Standard turnaround for LLC or LTD formation is 3–10 business days once we have your complete documents, subject to government processing times. Banking and Stripe/PayPal approvals typically add 5–30 business days. Estimates are best-effort — actual times depend on state agencies, HMRC, IRS and banking partners over whom we have no control.

Entity Makers is not liable for delays, refusals or additional information requests caused by government agencies (IRS, FinCEN, state agencies, Companies House, HMRC), banks, payment processors or verification providers. Where a filing is rejected due to information you provided, additional fees may apply to resubmit.

We may pause or terminate services if you fail to complete KYC, provide false or misleading information, breach these Terms, or use our services for activities prohibited by our AML Policy. We may also decline any engagement at our discretion. Prepaid fees for work not yet performed will be refunded net of processing costs.

All content, code, logos, templates and process documentation on entitymakers.com is the property of Entity Makers and its licensors. You retain full ownership of your company, brand assets and business data. Websites and code we build for you become yours in full upon final payment.

To the maximum extent permitted by law, Entity Makers' total aggregate liability for any claim arising out of or relating to our services is limited to the fees you paid us for the specific service in question during the preceding 12 months. We are not liable for indirect, incidental, consequential or lost-profit damages.

These Terms are governed by the laws of England and Wales, without regard to conflict of law rules. Any dispute will be resolved exclusively in the courts of London, UK, unless a mandatory consumer-protection law in your country of residence requires otherwise.
